Yabsera Alemneh

Associate

Yabsera Alemneh is an Associate in MLA’s Corporate and Finance Practice. She provides advice to various foreign investors and international financial institutions on investment laws, commercial laws, forex regulation, competition, mining law, and employment and immigration laws. Before joining MLA, she was an assistant lecture at Bahir Dar University. Currently, Yabsera mainly advises on company incorporations, corporate restructuring, conducting legal due diligence, sovereign debt and sovereign guarantee, and securities.

graduated from Bahir Dar University 2021
Master of Laws in Commercial and Company Law from Erasmus University Rotterdam in 2023.

Advised Chinese Bank in relation to three related loan facilities to the Ethiopian Railways Corporation and issuing legal opinions on the legality, validity and enforceability of the loan agreements and the accompanying government guarantees
Assisted an international organization in providing a legal opinion on repayment of foreign loan in line with the foreign exchange laws;
Advised a mining contractor and property development company in preparing a legal opinion on company formation, legal framework on offshore accounts and security structure in relation to its mining agreement with a mining company in Ethiopia;
Assisted a mining company in reviewing side letters in relation to the enforceability of convertible loan agreement and share pledge agreement;
Advised a micro-finance institution in preparing a legal opinion on the corporate governance structure and nominal shareholders in MFI;
Assisted an international payment system operator in completing a due diligence questionnaire on its service in the Middle East and Africa and payment modalities;
Assisted the incorporation a company in the sector of data cloud and data center (hosting) services and other international companies in incorporation of commercial representative office in Ethiopia;
Assisted a leading technology-driven crypto-currency mining company in preparing a legal opinion on the legality and tax implication of the Proposed Transaction under Ethiopian Law;
Assisted a global leader in cloud mining and AI solutions, in conducting a legal due diligence in relation to the acquisition of a crypto-currency mining company in Ethiopia;
Assisted a client in conducted an investigative report related to bribery and anti-corruption laws;
Assisted foreign companies in liquidation of their subsidiaries in Ethiopia;
Advised a US-based NGO in preparing a legal opinion on the legality of the proposed arrangement under Ethiopian Foreign Exchange and Civil Societies Organizations Laws;
Assisted a global group company engaged in distribution and retail in the international travel market in negotiating a management agreement with a state-owned enterprise;
Advised international companies in being a local partner with regards to processing visa, work and residence permits and general immigration matters
