Associate

Tensaebirhan Negussu is an Associate in MLA’s Corporate and Finance Practice Group. He advises on complex corporate, investment, and financing transactions, including cross-border M&A, project finance, joint ventures, and regulatory compliance for both foreign and domestic clients. Prior to joining MLA, he worked at a Tier 1 law firm, advising multinational investors on corporate, project, and investment matters. Tensaebirhan was recognized as Best Oralist at the Ethiopian Law Schools National Moot Court Competition in 2021.

  • Provided corporate and investment advisory across multiple sectors, including establishment of investment vehicles, equity transfers, corporate reorganizations, and ongoing regulatory and compliance matters.
  • Acted for foreign investors on several cross-border M&A transactions, including acquisitions involving multinational technology, consumer goods, and industrial companies, covering legal due diligence and transaction structuring.
  • Advised on a utility-scale PPP energy project by a Middle Eastern power company, with a focus on procurement compliance, and government counterparty considerations.
  • Conducted vendor and buy-side red-flag due diligence for international and domestic clients, identifying regulatory, tax, corporate, and operational risks material to acquisition and financing transactions
  • Advised on Ethiopia’s investment and corporate regulatory framework, including sector restrictions, approval procedures, tax incentives, foreign exchange management, and compliance obligations for foreign-owned enterprises.
  • Drafted and negotiated key transaction documents such as share purchase agreements, joint venture agreements, shareholders’ agreements, corporate governance documents, and service contracts for multi-jurisdictional corporate and financing matters.
  • Advised on corporate governance and shareholder matters, including governance frameworks, shareholder relations, dispute considerations, and regulatory compliance for multinational and foreign-invested companies.
